Toronto, Canada, August 25, 2016 - Eloro Resources Ltd. (TSX-V: ELO; FSE: P2Q) ("Eloro" or the "Corporation") is pleased to announce it has completed a previously announced non-brokered private placement (the "Private Placement") of 1,800,000 units of Eloro at a price of $0.30 per unit ("Units") for gross proceeds of $540,000.
Each Unit consists of one Common Share and one half of one Common Share purchase warrant (a "Warrant"). Each whole Warrant entitles the holder to purchase one Common Share at a price of $0.45 per share for a term of 18 months, expiring February 25, 2018.
In connection with the private placement, two arm's length finders received as compensation a 7% cash commission aggregating $5,250 and 17,500 finder's warrants entitling the holders to purchase 17,500 Eloro Common Shares at a price of $0.45 per share for a term of 18 months.
The proceeds of the Private Placement will be used for working capital purposes and to fund the acquisition and continued exploration of the La Victoria Property, located in the North-Central Mineral Belt of Peru. The Private Placement is subject to approval by the TSX Venture Exchange. A Director of the Corporation participated in the Private Placement. All securities issued pursuant to the Private Placement are subject to the applicable statutory four month hold period.
